These Terms & Conditions (“Terms”) govern your access to and use of the Vehix mobile application, website, and related services (collectively, the “Platform”). Please read these Terms carefully before using Vehix.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

“Vehix”, “we”, “us”, or “our” refers to Vehix, a technology platform currently operating in Uganda.

“Platform” means the Vehix mobile application, website, and related services.

“User” means any person who accesses or uses the Platform.

“Rider” means a user who requests roadside or emergency assistance through the Platform.

“Roadie” means an independent service provider who offers roadside or emergency assistance through the Platform.

“Service” means roadside or emergency assistance services provided by Roadies to Riders.

“Service Fee” means the fee charged by Vehix to Roadies for use of the Platform after a successful service.

2. About Vehix and Platform Role

Vehix is a technology platform that connects Riders with independent Roadies for roadside and emergency vehicle assistance.

Vehix:

• • Does not provide roadside or emergency services itself
  • Does not employ Roadies
  • Does not control how Roadies perform services
  • Is not a party to any agreement or transaction between Riders and Roadies.

All services are provided directly by Roadies to Riders, and any agreement for services is strictly between them.

3. Eligibility and Registration

3.1 General Requirements

To use Vehix, you must:

• • Be at least 18 years old
  • Provide accurate, complete, and up-to-date information
  • Create an account (no anonymous or lazy registration is permitted).

Vehix reserves the right to refuse registration or suspend accounts at its discretion.

3.2 Account Responsibility

You are responsible for:

• • Maintaining the confidentiality of your login details.
  • All activities conducted under your account.

Vehix is not responsible for unauthorized access resulting from your failure to secure your account.

4. Rider Terms

As a Rider, you agree that:

• • You are solely responsible for requesting services and communicating clearly with Roadies;
  • Any payment for services is negotiated directly between you and the Roadie;
  • Vehix does not set service prices, negotiate costs, or process Rider payments;
  • Vehix does not guarantee availability, response time, quality, or outcome of services.

You acknowledge that roadside and emergency services involve inherent risks and agree to use the Platform at your own discretion.

5. Roadie Terms

5.1 Independent Contractor Status

Roadies operate as independent contractors and not as employees, agents, or partners of Vehix.

Nothing in these Terms creates an employment, partnership, or joint venture relationship between Vehix and any Roadie.

5.2 Verification and Documentation

Roadies must:

• • Provide valid identification and required documents as requested by Vehix;
  • Ensure all submitted information is accurate and lawful;
  • Maintain valid licenses, permits, and insurance where applicable;
  • Vehix may verify, reject, or request updates to Roadie documentation at any time;

5.3 Service Standards

Roadies agree to:

• • Act professionally, safely, and respectfully
  • Comply with all applicable laws and regulations in Uganda
  • Provide services at their own discretion and responsibility.

Vehix does not supervise or control how services are performed.

6. Payments and Service Fees

• Riders pay Roadies directly for services using any mutually agreed payment method (cash, mobile money, etc.);
• Vehix doesnot collect payments from Riders;
• Vehix operates a Post-Paid Service Fee Model. Roadies acknowledge that:

• • A Service Fee is deducted from their Vehix Digital Wallet upon successful connection and job completion.
  • This Wallet may accrue a Negative Balance.
  • If the Negative Balance exceeds the limit set by Vehix, Vehix reserves the right to suspend access to new job requests until the debt is cleared.

  • Roadies are legally liable to pay any outstanding Service Fees accumulated in their Negative Balance.

7. Ratings, Reviews, and Complaints

Vehix may allow Riders to rate and review Roadies.

Vehix reserves the right to:

• • Monitor ratings and complaints
  • Investigate reported misconduct
  • Suspend or permanently remove Roadies who receive poor ratings, repeated complaints, or violate these Terms.

Vehix does not guarantee the accuracy or fairness of ratings but may use them for platform safety and quality purposes.

8. Suspension and Termination

Vehix may suspend or terminate any account, without prior notice, if: –

• • These Terms are violated
  • Collusion with Riders to bypass Service Fees is detected – Fraud, abuse, or unsafe conduct is suspected;
  • Required documents are invalid or missing;
  • Continued use poses risk to users or the Platform;
  • where required to do so by law, regulation, court order, directive of a competent authority, or law enforcement agency.

Effect of Account Deletion: Users may terminate their account at any time. However, deletion of an account does not absolve a Roadie of any outstanding financial obligations.

If a Roadie has a Negative Balance (owed Service Fees) at the time of deletion, the debt remains legally valid and Vehix reserves the right to pursue collection through registered accounts or legal means

Users may stop using the Platform at any time.

9. Disclaimers

Vehix provides the Platform on an “as is” and “as available” basis.

Vehix makes no warranties regarding:

• • The quality, safety, or suitability of services;
  • The conduct of Riders or Roadies;
  • Continuous or error-free operation of the Platform.

Vehix does not guarantee outcomes of roadside or emergency services.

10. Limitation of Liability

To the maximum extent permitted by law:

Vehix shall not be liable for:

• Personal injury, death, or property damage
• Losses arising from services provided by Roadies
• Disputes between Riders and Roadies
• Delays, service failures, or miscommunications.

11. Indemnification

You agree to indemnify and hold harmless Vehix, its directors, officers, and affiliates from any claims, losses, damages, or expenses arising from:

• • Your use of the Platform;
  • Your violation of these Terms;
  • Services provided or received through the Platform.

12. Privacy

Your use of Vehix is subject to our Privacy Policy, which explains how we collect, use, and protect personal data.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Uganda.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.

14. Changes to These Terms

Vehix may update these Terms from time to time.

Updated Terms will be posted on the Platform, and continued use constitutes acceptance of the revised Terms.
